Versus Systems Inc. (NASDAQ: VS) has completed a stock transaction with ASPIS Cyber Technologies, Inc., issuing 1,310,969 shares of common stock at $1.29675 per share for total consideration of $1,700,000.

The transaction, which closed June 26, 2026, was governed by a Stock Purchase Agreement signed April 15, 2026. The agreement was previously filed as Exhibit 10.1 to the company's Form 8-K with the Securities and Exchange Commission on that date.

According to the company's statement, the share issuance is exempt from registration under Section 4(a)(2) of the Securities Act and Rule 506(b) of Regulation D.
