Digital Brands Group announces 1-for-40 reverse stock split
Digital Brands Group (NASDAQ: DBGI) announced a 1-for-40 reverse stock split of its common stock, approved by its board of directors on July 15, 2026.
The company filed a Certificate of Change with the Nevada Secretary of State on July 20, 2026, to carry out the split. The reverse stock split is set to take effect at 12:01 a.m. Eastern Time on July 24, 2026, after which the common stock will begin trading on a post-split basis under CUSIP number 25401N 606.
Under Nevada Revised Statutes Section 78.207, stockholder approval was not required for the action.
As a result of the split, proportionate adjustments will apply to shares underlying outstanding equity awards, shares issuable under equity incentive plans, and exercise, grant, and acquisition prices of those awards. Outstanding warrants will be adjusted so that each warrant becomes exercisable for one-fortieth of a share of common stock. The conversion factor for the company's convertible preferred stock into common stock will also be adjusted proportionately.
