JFrog authorizes $300 million share repurchase program

JFrog Ltd. (NASDAQ: FROG) announced that its board of directors has authorized a share repurchase program of up to $300 million of the company's ordinary shares.



The software supply chain platform company stated the repurchase approval reflects confidence in its strategy and growth opportunities. JFrog said it is backed by a strong balance sheet and consistent free cash flow generation, positioning it to return capital to shareholders while maintaining flexibility for strategic growth investments.



The company may repurchase securities through various methods, including open market purchases and privately negotiated transactions, in accordance with U.S. securities laws. The program does not obligate JFrog to acquire any specific amount of securities and may be suspended or discontinued at the company's discretion.



JFrog expects to fund repurchases with cash on hand and future cash generated from operations. The actual timing, number and value of securities repurchased will depend on factors including market price, general market conditions, financial results and liquidity.



Repurchases may begin after a 30-day period for creditors to object, in accordance with Israeli company regulations. JFrog is incorporated in Israel and trades on the Nasdaq exchange.



The company creates software supply chain platforms and serves millions of users and approximately 6,600 organizations worldwide, including a majority of the Fortune 100, according to the press release statement.
