Exzeo Group, Inc. (NYSE: XZO), a technology solutions provider for property and casualty insurance carriers, announced that its board of directors has authorized a program to repurchase up to $25 million of the company's common shares.
According to the announcement, the program allows the company to buy back shares through open market purchases, block transactions, privately negotiated transactions, or other means, including through a trading plan intended to qualify under Rule 10b5-1 of the Securities Exchange Act of 1934.
The repurchase program has a term of one year. The timing and total amount of any repurchases will be determined at management's discretion, based on business, economic, and market conditions, corporate and regulatory requirements, and prevailing stock prices. The program does not obligate Exzeo to acquire a specific number of shares and may be canceled or suspended at any time without notice.
Information regarding share repurchases will be disclosed in the company's future periodic reports on Forms 10-Q and 10-K filed with the U.S. Securities and Exchange Commission.
