Agi Inc (NYSE: AGBK) announced that its board of directors has approved a share repurchase program allowing the company to buy back up to 3 million shares of its outstanding Class A common stock.
According to a press release, repurchases may be made in the open market based on prevailing market prices or through privately negotiated transactions. The program begins October 27, 2026 and runs through October 27, 2027, or until the repurchases are completed, whichever comes first.
Agi said it expects to fund the buybacks using cash balances derived from retained and future earnings. Repurchases will be conducted in compliance with Rule 10b-18 and/or Rule 10b5-1 under the Securities Exchange Act of 1934.
The board will review the program periodically and may adjust its terms, change its size, or suspend or discontinue it at any time. The program does not obligate Agi to acquire any specific number of shares in any given period.
The actual timing, number, and value of shares repurchased will depend on factors including price, general business and market conditions, and alternative investment opportunities.
Agi is a São Paulo-based financial institution operating a hybrid banking model that combines digital and physical branch services, primarily serving customers in Brazil.
