EXPLANATORY NOTE
On June 30, 2026, the shareholders of Zhihu Inc. (the “Registrant”) resolved to adopt the Amended and Restated 2022 Share Incentive Plan (the “Amended Plan”), which amends and restates the Registrant’s 2022 Share Incentive Plan (the “Prior Plan”). Under the Amended Plan, the separate Option Grant Limit and the Restricted Share Unit Grant Limit previously set forth in Section 3.1(a) of the Prior Plan are eliminated and consolidated into a single award pool, thereby permitting the Registrant to grant awards in any combination of options and restricted share units within the remaining available share capacity under the Prior Plan, subject to the 10% scheme limit under Chapter 17 of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited.
In connection with the Prior Plan, as of the date hereof, the Class A ordinary shares previously registered for issuance under the registration statement on Form S-8 as filed with the Securities and Exchange Commission (the “Commission”) on June 7, 2022 (File No. 333-265451) (the “Prior Registration Statement”) that remain unissued thereunder are now issuable under the Amended Plan for all forms of awards (including both options and restricted share units) as a result of the consolidation of the Option Grant Limit and the Restricted Share Unit Grant Limit into the single award pool described above. No additional securities are being registered by this Post-Effective Amendment.
In accordance with General Instruction E to Form S-8, the content of the Prior Registration Statement is incorporated herein by reference, except as otherwise set forth herein.

The Registrant’s currently effective eleventh amended and restated articles of association provides that the Registrant shall indemnify its directors and officers against all actions, proceedings, costs, charges, expenses, losses, damages or liabilities incurred or sustained by such persons, other than by reason of such persons’ own dishonesty, willful default or fraud, in or about the conduct of the Registrant’s business or affairs (including as a result of any mistake of judgment) or in the execution or discharge of their duties, powers, authorities or discretions, including without prejudice to the generality of the foregoing, any costs, expenses, losses or liabilities incurred by such persons in defending (whether successfully or otherwise) any civil proceedings concerning the Registrant or its affairs in any court whether in the Cayman Islands or elsewhere.
Pursuant to the indemnification agreements, the form of which was filed as Exhibit 10.3 to the Registrant’s registration statement on Form F-1, as amended (File No. 333-253910) (the “Form F-1”), the Registrant has agreed to indemnify its directors and officers against certain liabilities and expenses incurred by such persons in connection with claims made by reason of their being such a director or officer.
Insofar as indemnification for liabilities arising under the Securities Act may be permitted to directors, officers or persons controlling the Registrant pursuant to the foregoing provisions, the Registrant has been informed that in the opinion of the Commission such indemnification is against public policy as expressed in the Securities Act and is therefore unenforceable.
The Registrant also maintains a directors and officers liability insurance policy for its directors and officers.
