Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.
As previously reported, Global Interactive Technologies, Inc. (the “Company”) received written notice on May 21, 2026 from the Listing Qualifications Department of The Nasdaq Stock Market LLC (“Nasdaq”) notifying the Company that it did not timely file its Quarterly Report on Form 10-Q for the period ended March 31, 2026 (the “Form 10-Q”), as required for continued listing on The Nasdaq Stock Market pursuant to Nasdaq Listing Rule 5250(c)(1) (the “Rule”). Additionally as previously reported, the Company received written notice on April 16, 2026 from the Listing Qualifications Department of Nasdaq notifying the Company that it did not timely file its Annual Report on Form 10-K for the period ended December 31, 2025 (the “Form 10-K”), as required for continued listing on the Nasdaq Stock Market pursuant to the Rule. The Company filed the Form 10-K on May 26, 2026.
On June 24, 2026, the Company received written notice from Nasdaq notifying the Company that, based on the June 22, 2026 filing of the Form 10-Q, the Company is now in compliance with the Rule.
