Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On September 10, 2026, Heather Plutino, Executive Vice President, Chief Financial Officer and Chief Accounting Officer of Citi Trends, Inc. (the “Company”), notified the Company of her decision to step down for personal reasons. Ms. Plutino will remain in her current role while the Company conducts a search for her successor. Ms. Plutino’s departure is not the result of any dispute or disagreement with the Company or the Company’s Board of Directors on any matter relating to the operations, policies or practices of the Company.
