Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On July 21, 2026, Yakov Baranes, a member of the board of directors (the “Board”) of Charging Robotics Inc. (the “Company”), tendered his resignation from the Board, effective immediately. Mr. Baranes’s resignation from the Board was for personal considerations and not due to any disagreement with the Company, the Board or the management of the Company on any matter relating to the Company’s operations, policies, practices or otherwise.
