Item 5.02.    Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On September 10, 2026, Jesse G. Singh resigned as a director of Carlisle Companies Incorporated (“Carlisle” or the “Company”), effective as of the conclusion of the meeting of the Board of Directors (the “Board”) held on that date. Mr. Singh resigned in accordance with Carlisle’s Statement of Corporate Governance Guidelines and Principles as a result of a change in his employment. Mr. Singh’s resignation was not the result of any disagreement with the Company on any matter relating to the Company’s operations, policies, or practices. At that time, the Board also fixed the number of directors at six.
The Board greatly appreciates Mr. Singh’s dedicated service to the Board over more than eight years.
