The following communication was sent by Jim DeVries, the Chairman, President & CEO of ADT Inc. to all employees via email on October 29, 2026:

ADT Team,

Along with our entire Board of Directors, I am excited to share that ADT has entered into a definitive agreement to be taken private by Thrive Holdings, which means our stock will no longer trade publicly. You can read ADT’s press release announcing the news here.

For those of you who may not be familiar with Thrive Holdings, they are a holding company focused on investing in established businesses for the long term and advancing their capabilities through technology. As a private company backed by a long-term owner, ADT will have additional flexibility to enable accelerated growth by investing in our people, products and capabilities.

During our many interactions leading up to this announcement, I have personally gotten to know the Thrive Holdings team very well. I could not be more excited about our shared future together. With Thrive Holdings’ long-term capital and engineering capabilities, we see opportunities to build on our smart home security expertise, strengthen our products and services and provide more customers with peace of mind. Importantly, they are highly collaborative, both customer- and employee-focused, with a commitment to building enduring businesses.

For more than 150 years, ADT has earned the deep trust of our customers by protecting what matters most. That trust is a direct result of the work you do every day, and I am grateful for your dedication and support. Thrive Holdings shares our commitment to our people and to providing the skills and support we need as our business continues to evolve.

The transaction is expected to close in the first quarter of 2027, subject to the satisfaction of customary closing conditions, including approval by ADT’s stockholders and receipt of U.S. antitrust approval. Until then, we will continue to operate independently as a public company. During this time, our focus remains on serving our customers, executing our growth initiatives and closing strong in 2026 to achieve our financial objectives. There are no changes to your day-to-day responsibilities or reporting as a result of today’s announcement.

We are posting a handful of relevant FAQs on Inside ADT linked here. If you have any additional questions, please reach out to your manager. We are committed to keeping you informed as this transaction progresses.

I am completely energized by the opportunities ahead and what we will achieve together with Thrive Holdings. This transaction builds on ADT’s legacy of trust and will create new opportunities for us to lead the next era of trusted home security. Thank you for everything you do for ADT, our customers and for one another.

Sincerely,

Jim

Jim DeVries

Chairman, President & CEO
