For a description of the Common Shares, without par value (the “Shares”), of Modern Mining Technology Corp. (the “Registrant”) to be registered hereunder, reference is made to the information set forth under the heading “Description of Share Capital and Articles of Incorporation” in the Registrant’s offering circular that constitutes a part of the Registrant’s offering statement on Form 1-A, as amended (File No. 024-12671), filed with the Securities and Exchange Commission (the “Commission”) under the Securities Act of 1933, as amended (the “Securities Act”), which information is hereby incorporated by reference. The description of the Shares included in any form of prospectus or offering circular subsequently filed by the Registrant with the Commission pursuant to Rule 424(b) under the Securities Act or Rule 253(g) of Regulation A shall be deemed to be incorporated by reference herein.
