STAMFORD, Conn.,
$1.25 billion in aggregate principal amount of Senior Secured Notes due 2035 (the "2035 Notes"). The 2035 Notes bear interest at a rate of 5.850% per annum and were issued at a price of 99.932% of the aggregate principal amount.$750 million in aggregate principal amount of Senior Secured Notes due 2055 (the "2055 Notes" and, together with the 2035 Notes, the "Notes"). The 2055 Notes bear interest at a rate of 6.700% per annum and were issued at a price of 99.832% of the aggregate principal amount.
The Notes were issued pursuant to an effective automatic shelf registration statement on Form S-3 filed with the Securities and Exchange Commission ("SEC").
