DOTT PUBLISHES FY2025 ANNUAL REPORT

AMSTERDAM, Sept. 30, 2026 /PRNewswire/ -- TIER Mobility SE ("Dott") today announces the publication on its website of the FY2025 Audited Annual Report.

Dott is pleased to confirm that all four tests of consistency against the FY2025 unaudited results as set out in the July written procedure have been met.

• Total revenue is unchanged at €173.3 million (vs. €164.6 million threshold)
• Adjusted EBITDA increased by €1.7 million to €9.0 million (vs. €2.2 million threshold) as a result of a €1.7m accrual release
• Cash and cash equivalents are unchanged at €31.4 million. (vs. €28.2 million threshold)
• PP&E decreased by €3.6 million to €65.0 million (vs €58.6 million threshold) as a result of a correction to the alignment of depreciation policies post-merger

While the 2025 figures are unqualified, the 2025 Audit opinion contains a qualification by Dott's auditor PriceWaterhouseCoopers ("PwC") in relation to the comparability of 2025 numbers with respect to 2024 consolidated financial statements. PwC issued a disclaimer of opinion on the 2024 results, primarily because €12.0 million of corrections recorded after the ERP migration post-merger could not be satisfactorily allocated between line items and between financial years due to lack of access to historical records and personnel following Dott's post-merger restructuring activities.
