Taltson Critical Minerals names new CFO and closes $85K placement
Taltson Critical Minerals Corp. (CSE: SLZ) has appointed Casey Forward as Chief Financial Officer and as a member of its board of directors, according to a company statement.
Forward, a CPA and CGA, has held senior management roles at several public and private mining companies with projects in Canada, the United States, and South America. He replaces Heath Ellingham, who resigned as CFO and director to pursue other business interests.
The company also announced the closing of a non-brokered private placement, issuing 2,125,000 units at $0.04 per unit for gross proceeds of $85,000. Each unit consists of one common share and one share purchase warrant, with each warrant allowing the holder to purchase one additional common share at $0.07 for a period of three years. The securities are subject to a trading restriction until January 22, 2027. Proceeds will be used for general working capital.
One company insider participated in the placement, purchasing 500,000 units for $20,000, representing 23.5% of the total amount raised. The transaction is classified as a related-party transaction under Multilateral Instrument 61-101. The company said it relied on exemptions from formal valuation and minority shareholder approval requirements, as the fair market value of the transaction did not exceed 25% of the company's market capitalization. The board reviewed and approved the insider's participation.
