Paul Carreiro named CEO and president of Digimarc

Digimarc Corporation (NASDAQ: DMRC) announced that Paul Carreiro assumed the role of Chief Executive Officer and President effective July 6, 2026, following a previously announced leadership transition.

In connection with his appointment, Digimarc's Compensation and Talent Management Committee approved an inducement equity award under Nasdaq Listing Rule 5635(c)(4). The award consists of two components.

The first is 307,400 time-vesting LTIP Units in DMRC LLC, a subsidiary of Digimarc, vesting in 15 equal quarterly installments of 19,213 units beginning September 30, 2026, with a final installment of 19,205 units on June 30, 2030, subject to continued employment.

The second is 752,600 performance-vesting LTIP Units, with vesting tied to stock price thresholds. One-third vests on the second anniversary of July 6, 2026, if the stock price reaches or exceeds $14.37; one-third vests on the third anniversary if the stock price reaches $21.92; and the remaining third vests on the fourth anniversary if the stock price reaches $38.33. Each tranche requires the price threshold to be met during the applicable performance period and continued employment through the vesting date.

The full inducement award agreement was filed as an exhibit to a Current Report on Form 8-K with the Securities and Exchange Commission.
