OpenWorld, Inc. (NASDAQ: OPNW) released preliminary, unaudited financial estimates for its third quarter ended September 30, 2026, and announced the appointment of Gerard Hernandez as Chief Financial Officer, effective October 23, 2026.

The company estimates Q3 2026 revenue between $6.9 million and $7.2 million, with a gross margin of 80% to 82%. The GAAP net loss is estimated at approximately $10.0 million, which includes roughly $11.9 million in non-recurring stock-based compensation expenses and merger-related transaction fees. Adjusted EBITDA, a non-GAAP measure, is estimated between $1.7 million and $2.0 million.

The quarter reflects OpenWorld's historical operations following the completion of a reverse takeover transaction with VerifyMe, Inc. on September 30, 2026. The September 30, 2026, consolidated balance sheet will reflect the combined entities.

Hernandez co-founded OpenWorld and previously served as its Chief Accounting Officer. He brings more than 15 years of financial experience across technology, blockchain, and healthcare sectors. He has held CFO roles at ThriveCoin, a blockchain rewards platform, and has served as a Special Council Member of the APE Foundation. He holds CPA designations in both the United States and Canada.

In his new role, Hernandez will oversee finance, accounting, reporting, and investor relations functions as OpenWorld transitions its operations.

The preliminary financial results are based on management estimates and have not been audited or reviewed by the company's independent registered public accounting firm. Quarter-end closing procedures are not yet complete, and actual results may differ materially. OpenWorld expects to report full Q3 2026 results and host a conference call on November 12, 2026.
