Brenmiller Energy Ltd. (NASDAQ: BNRG) announced that shareholders approved all proposals at the company's Annual and Special General Meeting held July 29, 2026, including the appointment of Nir Brenmiller as Chief Executive Officer.

Nir Brenmiller, who previously served as Deputy CEO and Chief Operating Officer, assumes the role effective immediately following shareholder approval. Company founder Avi Brenmiller will remain as Chairman of the Board of Directors.

"Nir has been central to building this Company for more than a decade, and the Board's confidence in him is complete," said Avi Brenmiller. "I look forward to continuing to work alongside him as Chairman."

Shareholders also approved a plan to change the company's name to "BrenX," pending approval by the Israeli Registrar of Companies.

According to a press release, the leadership transition follows several steps under the company's BrenX strategy, including the purchase of an operating 1.2 MWp photovoltaic facility in Kaposzszekcső, Hungary, and the signing of a term sheet to acquire adjacent industrial land intended to expand the site into the company's first BrenX industrial energy resource center.

The company also disclosed a waiver from the European Investment Bank as both parties advance toward a potential full and final settlement of a March 2021 credit facility, which the company said would reduce its debt if completed.

Nir Brenmiller stated that near-term priorities include expanding the Hungary facility, converting a pipeline of commercial opportunities into signed projects, and strengthening the company's balance sheet.
