Nscale secures $3.36 billion pre-IPO round as public debut looms

Investing.com -- London-based Nscale Limited has secured $3.36 billion in a pre-IPO convertible financing round as the artificial intelligence data center operator prepares for a public debut. The capital raise follows the company’s recent initial public offering filing, which could seek as much as $3 billion in new equity, according to people familiar with the matter cited in Bloomberg reporting.

The convertible loan note offering was led by activist hedge fund Third Point, with participation from marquee institutional investors including Apollo, Citadel, Hudson Bay Capital, and the Abu Dhabi Investment Council. The transaction consists of an immediate $2.36 billion closing tranche alongside a $1 billion forward commitment from Nvidia Corp., with the latter slated for funding in mid-November 2026.

Nscale’s funding underscores the sustained institutional appetite for specialized "neocloud" operators that provide high-performance computing infrastructure for resource-intensive artificial intelligence workloads. Spun off from a cryptocurrency mining enterprise in early 2024, the platform has rapidly scaled its footprint to serve enterprise clients, frontier model research labs, and hyperscale cloud providers.

The company plans to deploy the proceeds to accelerate the global buildout of its vertically integrated platform, which spans behind-the-meter power generation, liquid-cooled data centers, and large-scale graphics processing unit clusters. Nscale reported more than $103 billion in total contracted value, reflecting strong multi-year commitments across its customer base as global demand for AI compute continues to outpace available supply.

Under the terms of the agreement, the loan notes will automatically convert into ordinary shares upon the completion of Nscale's initial public offering, with Nvidia receiving non-voting shares. Goldman Sachs & Co. LLC acted as the placement agent for the financing deal while simultaneously serving as a lead underwriter for the upcoming listing alongside JPMorgan Chase & Co. and Morgan Stanley.

The upcoming stock market debut is set to be one of the largest technology listings of the year, with 19 additional investment banks participating in the syndicate. Nscale expects to list its ordinary shares on the New York Stock Exchange under the ticker symbol NSCL.
