CoreWeave stock drops on dilution fears and debt concerns

CoreWeave Inc. stock declined nearly 4.0% in morning trading on Thursday as investors responded to a series of capital-raising announcements and newly disclosed debt provisions.
The company launched an at-the-market equity program covering up to 35 million shares during the prior session. CoreWeave also announced plans for a $3.0 billion private offering of convertible senior notes due 2033.
A report published Thursday revealed details about a provision in CoreWeave's $2.6 billion AI infrastructure loan. The clause states that if an uptime or service-level failure gives a customer grounds to terminate a contract backing the financing, it can trigger a "Cash Trap Event" and potentially require early debt repayments.
CoreWeave carries approximately $35 billion in total debt. The company's quarterly interest expense stands at roughly $640 million, which continues to exceed operating income despite growing revenue.
CEO Michael Intrator has been selling shares under a pre-arranged trading plan.
