Bending Spoons prices IPO at $29 per share on Nasdaq

Bending Spoons S.p.A. priced its initial public offering at $29.00 per share, above its proposed range of $26 to $28, according to a statement from the company.
A total of 57,971,015 ordinary shares are being offered in the IPO. Of those, 34,398,640 shares are being offered by Bending Spoons and 23,572,375 shares are being offered by certain selling shareholders. The company stated it will not receive proceeds from shares sold by the selling shareholders.
The shares are expected to begin trading on the Nasdaq Global Select Market under the ticker symbol NASDAQ: BSP on July 1, 2026, with the offering expected to close on July 2, 2026, subject to customary closing conditions.
Bending Spoons and the selling shareholders also granted underwriters an option to purchase up to an additional 5,244,026 ordinary shares from the company and up to 3,451,626 ordinary shares from the selling shareholders at the IPO price, less underwriting discounts and commissions.
Goldman Sachs International, J.P. Morgan, and Allen & Company LLC are serving as joint lead book-running managers. Wells Fargo Securities, BofA Securities, Jefferies, Evercore ISI, BNP Paribas, Mizuho, Societe Generale, Crédit Agricole CIB, Intesa Sanpaolo, UniCredit, and Banca Akros are acting as joint book-running managers.
The U.S. Securities and Exchange Commission declared the registration statement effective on June 30, 2026.
