B&R Technology Merger Corp. raises $325M in Nasdaq IPO
B&R Technology Merger Corp. closed its initial public offering of 32,500,000 units priced at $10.00 each, generating gross proceeds of $325,000,000, according to a press release from the company.
The company's units began trading on the Nasdaq Global Market on July 21, 2026, under the ticker symbol "BRTMU." Each unit consists of one Class A ordinary share and one-third of one redeemable warrant, with each whole warrant exercisable at $11.50 per share. Once the units separate, the Class A ordinary shares and warrants are expected to trade on Nasdaq under the symbols "BRTM" and "BRTMW," respectively.
The full $325,000,000 in proceeds from the IPO and a simultaneous private placement was placed in trust at $10.00 per public unit.
The company was formed as a special purpose acquisition company (SPAC) to pursue a merger or similar business combination. It stated an intention to focus on technology companies with artificial intelligence exposure. Leadership includes Chief Executive Officer and Chairman David York, President and Chief Financial Officer Clark N. Callander, and Chief Operating Officer Steven C. Fletcher.
Citigroup acted as sole book-running manager. The underwriter received a 45-day option to purchase up to 4,875,000 additional units at the IPO price to cover over-allotments. The SEC declared the registration statement effective on July 20, 2026.
