GEE Group responds to Star Equity's acquisition interest indication

GEE Group Inc. (NYSE American: JOB) announced its response to public commentary from Star Equity Holdings (NASDAQ: STRR) regarding an indication of interest for a possible business combination.

GEE Group received an indication of interest from Star Equity via email on January 6, 2026. The company said the indication lacked specifics regarding valuation, consideration structure, or other transaction details. The GEE Group board of directors reviewed the indication with outside counsel.

GEE Group characterized Star Equity as a thinly traded micro-cap company with a market capitalization of approximately $36.7 million and average daily trading volume of 7,860 shares. According to public filings, Star Equity reported net losses of $1.831 million and $4.275 million for the three-month and nine-month periods ended September 30, 2025, respectively, with an accumulated deficit of $434.2 million.

The staffing services provider stated it disagrerees with various opinions expressed in Star Equity's press release and noted that Star Equity lacks access to material non-public information about GEE Group. No nondisclosure agreement exists between the companies.

GEE Group said it cannot confirm Star Equity's claim of holding a 5.4% stake in the company, noting that no Schedule 13D filing appears to have been made to disclose beneficial ownership.

The company said it intends to respond privately to Star Equity and that its board will consider any offer that could enhance shareholder value in accordance with fiduciary duties.
