Trinity Industries completes railcar partnership restructuring, raises guidance

Trinity Industries Inc. (NYSE: TRN) completed a strategic restructuring of its railcar investment partnerships with Napier Park on December 30, 2025, according to a company statement.

The Dallas-based company raised its full-year 2025 earnings per share guidance to $3.05-$3.20, citing an anticipated $1.50 EPS impact from the transaction. Trinity expects to recognize a non-cash pre-tax gain of approximately $190 million in the fourth quarter from the sale of its equity stake in Triumph Holdings.

Under the restructuring, Napier Park acquired 99.8% ownership of Triumph Rail Holdings LLC, while Trinity acquired sole ownership of RIV 2013 Rail Holdings LLC and its subsidiary TRP 2021 LLC. Trinity previously held a 43% stake in TRIP Rail Holdings LLC, which owned over 17,000 railcars, and a 31% stake in RIV 2013, which owns more than 6,200 railcars.

Following the transaction, Trinity wholly owns RIV 2013 and retains 0.2% of Triumph Holdings, while Napier Park owns 99.8% of Triumph Holdings. The companies maintain their joint venture structure for Tribute Rail LLC, with Napier Park holding 57% and Trinity holding 43% of TRIP Holdings.

"This transaction demonstrates the strength of our investor partnerships and that railcars are ideal investable assets for private capital," said Eric Marchetto, Trinity's chief financial officer.

Napier Park, a First Eagle Investments company, has been investing with Trinity since 2013 and has contributed $850 million in equity across a fleet of 33,000 railcars. The alternative credit platform manages approximately $42 billion in assets.

Trinity operates through two business segments: Railcar Leasing and Services Group and Rail Products Group, providing railcar leasing, manufacturing, maintenance and logistics services in North America.
