reAlpha Tech raises $5 million in registered direct offering at $0.35

reAlpha Tech Corp. (NASDAQ: AIRE) announced it has entered into agreements to sell 14,285,718 shares of common stock at $0.35 per share in a registered direct offering expected to generate approximately $5 million in gross proceeds.
The AI-powered real estate technology company will also issue warrants to purchase up to 14,285,718 additional shares at the same $0.35 exercise price in a concurrent private placement. The warrants will be exercisable upon issuance and expire five years from the effective date of the registration statement covering the resale of underlying shares.
H.C. Wainwright & Co. is serving as the exclusive placement agent for the offering, which is expected to close on or about July 22, 2025, subject to customary closing conditions.
The company stated it intends to use net proceeds for working capital and general corporate purposes, which could include debt repayment, future acquisitions, capital expenditures and cryptocurrency purchases in accordance with its investment policy.
The common stock offering is being conducted under a shelf registration statement on Form S-3 that was declared effective by the Securities and Exchange Commission on November 26, 2024. The warrants are being offered in a private placement under Section 4(a)(2) of the Securities Act and have not been registered under federal securities laws.
