Zenta Group files $50M shelf registration with SEC
Zenta Group Company Limited (Nasdaq: ZTG), a Macau-based professional services firm, announced it has filed a shelf registration statement on Form F-3 with the U.S. Securities and Exchange Commission, according to a press release.
The filing, submitted on Sept. 22, 2026, would allow the company to offer and sell up to $50 million in securities, including Class A ordinary shares with a par value of $0.001 per share, debt securities, warrants, rights, units, or any combination of these instruments across one or more offerings.
The registration statement has not yet been declared effective by the SEC. The company stated it has no present commitment or obligation to offer or sell any securities under the filing, and that the registration was made to provide financial flexibility.
If the registration becomes effective, the company said it intends to use net proceeds for general corporate purposes, with specific use of proceeds to be detailed in a prospectus supplement at the time of any offering.
Zenta Group provides industrial park consultation, business investment consultation, and fintech and artificial intelligence products and services. The company completed the acquisition of ZentoAI Intelligent Technology Company Limited in September 2026, adding artificial intelligence and data platform services to its portfolio.
