Wilton Resources closes $565,000 private placement financing

Wilton Resources Inc. (TSXV: WIL) announced the closing of a non-brokered private placement, raising $565,000 in gross proceeds, according to a press release.



The company issued 2,260,000 units at $0.25 per unit. Each unit consists of one common share and one warrant, with each warrant exercisable at $0.30 per common share for 24 months from the date of issuance.



The offering, first announced on August 18, 2026, had a minimum target of $250,000 and a maximum of $625,000. Proceeds are intended for general corporate purposes and as a reserve for the potential acquisition of an international oil and gas property.



Insiders of the corporation participated in the offering, constituting a related party transaction under Multilateral Instrument 61-101. The company said it is relying on exemptions from formal valuation and minority approval requirements, noting that the fair market value of insider participation does not exceed 25% of the corporation's market capitalization.



Haywood Securities Inc. received finder's fees in connection with the offering, including a cash payment of $4,200, representing 7% of proceeds from subscribers it introduced, and 16,800 non-transferable finder's warrants exercisable at $0.30 per share for 24 months.



All securities issued under the offering are subject to a statutory hold period of four months and one day, expiring January 2, 2027.
