Voyager Digital raises additional $25 million through convertible notes

Voyager Digital Ltd. (NYSE: VOYG) completed the issuance of an additional $25 million in convertible senior notes on November 24, 2025, according to a company statement.

The initial purchasers of the company's previously announced 0.75% Convertible Senior Notes due 2030 exercised their partial option to purchase the additional notes on November 20, 2025. The original private offering closed on November 12, 2025.

The company received net proceeds of approximately $24.375 million after deducting initial purchasers' discounts and commissions. Voyager Digital allocated approximately $3.6 million of these proceeds to pay for additional capped call transactions.

The additional notes carry the same terms as the original notes issued on November 12, 2025, and were issued under the same indenture with U.S. Bank Trust Company, National Association serving as trustee.

The transaction details were outlined in the company's Current Report on Form 8-K filed on November 12, 2025, which contained the complete terms and conditions of the convertible notes offering.
