Veea prices $9.2 million public offering at $1.00 per share

Veea Inc. (NASDAQ: VEEA) announced the pricing of its public offering of 6 million shares of common stock and accompanying warrants at $1.00 per share and warrant. The company expects to receive approximately $6 million in cash gross proceeds before fees and expenses.



The warrants carry an exercise price of $1.10 per share, are exercisable immediately, and expire five years from issuance. The offering is expected to close on or about August 14, 2025, subject to customary closing conditions.



In connection with the offering, NLabs Inc., an existing stockholder and affiliate of the company and its CEO, will exchange outstanding promissory notes totaling $3,239,096 in principal and accrued interest for 3,239,096 shares and accompanying warrants at the public offering price.



Veea stated it intends to use net proceeds for investments in inventory and customer support infrastructure, as well as working capital and general corporate purposes. A.G.P./Alliance Global Partners is serving as the sole placement agent.



The securities are being offered under a registration statement on Form S-1 that was declared effective by the Securities and Exchange Commission on August 12, 2025. The New York-based company describes itself as a provider of intelligent edge infrastructure solutions for enterprise and public infrastructure applications.
