Trifecta Gold Ltd. (TSXV: TG)(OTCQB: TRRFF) has closed a non-brokered private placement raising $1,660,000, according to a press release from the Vancouver-based company.

The offering consisted of 5,750,000 flow-through shares at $0.20 per share and 3,000,000 common shares at $0.17 per share. Condire Investors participated in the placement to maintain its 19.9% equity interest in the company.

Proceeds will be directed toward exploration at Trifecta's Tombstone Gold Belt projects in Yukon, Canada, and for general working capital.

Trifecta paid $71,550 in cash finders' fees and issued 360,000 finder warrants to Ventum Financial Corp., Raymond James Ltd., Eskar Capital Corporation, and Castlewood Capital Corporation. Each finder warrant carries an exercise price of $0.30 and expires July 3, 2027. All securities issued are subject to a Canadian hold period until November 4, 2026.

Company insiders purchased 2,193,750 common shares as part of the placement, constituting a related party transaction under TSX-V Policy 5.9 and Multilateral Instrument 61-101. Trifecta relied on exemptions from formal valuation and minority shareholder approval requirements, citing that the fair market value of insider participation did not exceed 25% of the company's market capitalization.
