Thunder Gold Corp. (TSXV: TGOL) (FSE: Z25) (OTCQB: TGOLF) announced a non-brokered private placement of flow-through shares targeting gross proceeds of up to C$5,000,000.

Under the offering, the company may issue up to 38,461,539 common shares at C$0.13 per share. Each share will qualify as a flow-through share under Canada's Income Tax Act. The offering is expected to close on or about November 13, 2026, subject to approval from the TSX Venture Exchange.

Shares will be issued under available prospectus exemptions and are subject to a four-month-and-one-day statutory hold period under Canadian securities law.

The company may pay finders a cash fee of up to 7% of gross proceeds they source and issue non-transferable finder warrants equal to up to 7% of shares sold to their introduced subscribers. Each finder warrant would allow the holder to acquire one common share at C$0.13 for 24 months from closing.

The Tower Mountain Gold Property covers 7,625 hectares located 40 kilometers west of Thunder Bay, Ontario.
