Terra Clean Energy ups private placement to $2.5M

Terra Clean Energy Corp. (CSE: TCEC) (OTCQB: TCEFF) (FSE: C9O0) has increased the size of a brokered private placement to $2,500,000, up from the amount announced in a September 8, 2026 press release, with Centurion One Capital Corp. serving as lead agent and sole bookrunner.

Under the revised terms, the company will offer up to 17,857,142 units at $0.14 per unit. Each unit consists of one common share and one share purchase warrant, with each warrant exercisable at $0.22 per share for three years from the closing date.

The warrants include an acceleration clause that allows the company to shorten the expiry to 30 days' notice if the daily volume weighted average trading price of the shares exceeds $0.44 for 15 consecutive trading days. The lead agent also holds an option to increase the offering by an additional 2,678,571 units for up to $375,000 in additional proceeds.

Proceeds are intended for capital expenditures and general working capital. The offering is expected to close on or around October 1, 2026, subject to approval from the Canadian Securities Exchange and other conditions. Securities issued will carry a hold period of four months and one day from the closing date.

The company noted that certain insiders and the lead agent may acquire up to approximately 100% of the offering, which would constitute a related party transaction under Multilateral Instrument 61-101. The company expects the transaction to qualify for an exemption from formal valuation and minority shareholder approval requirements, as insider participation is not expected to exceed 25% of the company's market capitalization.
