TempraMed expands Latin American distribution and plans C$1M raise

TempraMed Technologies Ltd. (CSE: VIVI) (OTCQB: TMPTF) (FSE: 9DY) has amended its exclusive distribution agreement with TEM Consulting International S.A., extending the arrangement beyond Panama to Argentina, Venezuela, Colombia and Costa Rica, and adding the VIVI Med product to the covered portfolio.



The amended agreement also includes an additional commercial order from TEM, which TempraMed expects to fulfill by the end of September 2026. The initial extended-territory framework contemplates minimum unit commitments across the added countries, with additional annual commitments tied to exclusivity. TEM is responsible for obtaining all required governmental licenses, registrations, import authorizations and other regulatory approvals in each market at its own cost.



Combined with separate distribution initiatives in Brazil and Mexico previously announced by the company, TempraMed said its products are expected to be available across seven Latin American countries once required registrations are completed. According to World Bank data cited in the press release, those seven countries collectively represent more than 70% of Latin America and the Caribbean's approximately 666.6 million people.



Separately, TempraMed announced a non-brokered private placement of up to 2,000,000 units at C$0.50 per unit, for aggregate gross proceeds of up to C$1,000,000. Each unit consists of one common share and one warrant exercisable at C$1.00 per share for 18 months following closing. The company said proceeds are intended for inventory, product development, sales and marketing, and general working capital. Closing is anticipated on or before September 30, 2026, subject to investor documentation, funds and Canadian Securities Exchange approval. The company may pay finders a cash fee of 7% of gross proceeds and finder's shares equal to 7% of units placed.



Shares, warrants and any shares issued upon warrant exercise will be subject to a four-month and one day hold period in Canada from closing.
