Stardust Solar clarifies terms of $641,000 convertible debenture offering

Stardust Solar Energy Inc. (TSXV: SUN) (OTCQB: SUNXF) has clarified the terms of a non-brokered private placement first announced on September 4, 2026, according to a company statement.



The offering consists of up to 641 senior secured convertible debenture units at $1,000 per unit, for aggregate gross proceeds of up to $641,000. Plaza Capital is the lead investor in the offering.



Each debenture unit includes one senior secured convertible debenture with a principal value of $1,000 and 13,333 common share purchase warrants.



The company said it intends to use net proceeds to repay outstanding principal and accrued interest on senior secured convertible debentures issued February 17, 2026.



Completion of the offering is subject to corporate and regulatory approvals, including approval from the TSX Venture Exchange. Securities issued will be subject to a statutory hold period of four months plus one day from the date of issuance. The offering has no minimum subscription requirement and may close in one or more tranches.
