Satellogic raises $35 million in registered direct offering

Satellogic Inc. (NASDAQ: SATL) announced it has entered into a securities purchase agreement with an institutional investment manager for a registered direct offering of 7,399,578 shares of Class A common stock at $4.73 per share.
The earth observation data company expects to receive approximately $35 million in gross proceeds from the offering before deducting expenses. The transaction is scheduled to close on January 27, 2026, subject to customary closing conditions.
Titan Partners, a division of American Capital Partners, serves as lead placement agent for the offering, with Craig-Hallum acting as co-placement agent.
The company stated it intends to use net proceeds for continued investment in growth initiatives, constellation and satellite infrastructure, working capital and general corporate purposes.
The shares are being offered under a shelf registration statement on Form S-3 that was previously filed with the Securities and Exchange Commission and declared effective on March 31, 2025.
Founded in 2010, Satellogic designs, manufactures and operates satellite systems that provide earth observation data to government and commercial customers. The company operates as a vertically integrated provider of sub-meter resolution earth observation services.
