Rocket Doctor AI closes second tranche, raising C$3.26M total
Rocket Doctor AI Inc. (CSE: AIDR, OTC: AIRDF, Frankfurt: 939) has closed the second tranche of a private placement of unsecured convertible debentures, raising gross proceeds of C$992,000, according to a company statement.
Combined with the first tranche, which closed Aug. 5, 2026, the company has raised aggregate gross proceeds of C$3,261,000 from the offering.
The debentures carry an interest rate of 12% per annum, calculated and payable at maturity, which is 12 months from the issuance date. Holders may convert the principal and accrued interest into units at C$0.70 (US$0.50) per unit. Each unit consists of one common share and one transferable share purchase warrant, exercisable at C$0.75 (US$0.54) per share for 12 months from issuance. The warrant expiry date may be accelerated if shares trade on the CSE at C$0.75 or more for 10 consecutive trading days.
The company said it intends to use net proceeds for working capital and general and administrative expenses, with a focus on U.S. expansion plans.
"This capital is a critical catalyst for our strategy, allowing us to accelerate our aggressive growth plans with a primary focus on expanding our footprint and bringing our AI-powered healthcare solutions to more patients and providers across the United States," said Dr. Essam Hamza, CEO of Rocket Doctor AI.
In connection with the second tranche closing, the company paid finders' fees totaling C$57,540. The debentures are subject to a hold period of four months and one day from the issuance date under applicable securities laws.
