Rare Element Resources plans $30.9 million rights offering
Rare Element Resources Ltd. (OTCQB: REEMF) announced plans to launch a rights offering targeting gross proceeds of approximately $30.9 million if all subscription rights are exercised.
Under the offering, shareholders as of January 30, 2026, will receive 0.25 non-transferable subscription rights for each common share owned. Each whole subscription right enables the purchase of one common share at $0.24 per share. The company stated there is no minimum amount required to be raised.
The offering includes an oversubscription privilege allowing shareholders who fully exercise their basic subscription rights to purchase additional shares, subject to availability and pro rata allocation among participating rights holders.
The Colorado-based rare earth elements company plans to use net proceeds to support operation of its rare earth processing demonstration plant, advance projects beyond current neodymium/praseodymium separation objectives, complete federal and state permitting for the Bear Lodge rare earth project in northeast Wyoming, and for general corporate purposes.
The rights offering will be conducted under the company's existing shelf registration statement filed with the Securities and Exchange Commission. The company expects to commence the offering within 40 days, pending regulatory clearance and approval from applicable state authorities.
Rare Element Resources focuses on rare earth products for technology, energy and defense applications through its Bear Lodge project, which the company describes as containing critical rare earths used in permanent magnets, electronics and clean energy technologies.
