RMX Industries submits draft S-1 registration statement to SEC
RMX Industries, Inc. (OTCQB: RMXI) announced March 17 that it has confidentially submitted a draft registration statement on Form S-1 to the U.S. Securities and Exchange Commission.
The registration statement relates to the resale of shares of the company's Class A Common Stock by selling stockholders. The filing is expected to become effective following completion of the SEC's review process, subject to market and other conditions.
RMX Industries is a Dallas-based technology company that develops data compression and video optimization solutions. The company provides services for capturing, transmitting, storing and delivering visual data across various network environments, with applications originally developed for defense and security sectors.
The announcement states it does not constitute an offer to sell or solicitation of an offer to buy securities. Any securities transactions will be conducted in accordance with Securities Act of 1933 registration requirements.
The company noted it has a qualified Regulation A offering statement on file with the SEC for units consisting of Class A common stock and warrants. The SEC qualification allows the company to make sales of those securities but does not constitute SEC approval of the offering's merits or accuracy.
