Orosur Mining launches private placement targeting C$14M

Orosur Mining Inc. (TSXV: OMI)(AIM: OMI) has entered into an agreement with Red Cloud Securities Inc. to act as sole agent and bookrunner for a best efforts private placement of up to 43,750,000 units at C$0.32 per unit, targeting gross proceeds of up to C$14 million, according to a company statement.



Each unit consists of one common share and one-half of one common share purchase warrant. Each whole warrant entitles the holder to purchase one additional common share at US$0.32, exercisable between 61 days and 24 months following the closing date.



Red Cloud Securities has also been granted an option to sell up to an additional 6,250,000 units at the same offering price, which would raise an additional C$2 million in gross proceeds if exercised in full.



U.K. corporate brokers Turner Pope Investments (TPI) Ltd. and Greenwood Capital Partners Limited will participate in the placement as U.K. brokers, targeting institutional and other eligible investors in the United Kingdom.



The company said it intends to use the net proceeds primarily to advance its Anzá gold exploration project in Antioquia, Colombia, with the remainder allocated to general working capital and corporate purposes. The Anzá project covers approximately 530 square kilometers in the Mid-Cauca belt.



The offering is scheduled to close on or around October 6, 2026, subject to approval from the TSX Venture Exchange and admission of the common shares to the AIM Market of the London Stock Exchange. Admission to AIM is expected to become effective on or around October 7, 2026.



Assuming the full issuance of 43,750,000 units, the total number of common shares outstanding with voting rights would reach 445,946,324.
