Origin Agritech completes $2.8M private placement at $1.40 per share

Origin Agritech Limited (NASDAQ: SEED) announced it has received the full $2,800,000 in gross proceeds from a previously announced private placement of 2,000,000 ordinary shares priced at $1.40 per share, according to a press release.

The investors — two individuals and one investment company — purchased shares under three Securities Purchase Agreements dated February 1, 2026, each on the same terms and price. The company's board approved the transaction on December 12, 2025. The company states that none of the investors is an affiliate of the company or any of its directors or executive officers.

The placement included no warrants and no placement agent fees. Origin Agritech's ordinary shares outstanding increased from 12,144,586 to 14,144,586 following the issuance.

The company said proceeds will be directed toward general working capital, research and development activities, and debt repayment, with working capital and R&D identified as priorities.

"We raised this capital at US$1.40 per share with no warrants and no intermediaries taking a cut, so nearly every dollar goes to work," said Weibin Yan, Chief Executive Officer of Origin Agritech. "With our Xinjiang production base running under the leaseback, we are putting these funds behind the breeding and trait programs in our commercial pipeline and the working capital to bring those varieties to market."

The placement follows the company's recent sale of its subsidiary, Xinjiang Originbo, and a subsequent leaseback of that seed production facility. The company said the leaseback arrangement keeps its production capacity and personnel in place.

The forms of the three Securities Purchase Agreements were furnished to the U.S. Securities and Exchange Commission as exhibits to a Form 6-K dated February 2, 2026.
