Neo-Concept prices $2M direct offering at $1.00 per share

Neo-Concept International Group Holdings Ltd (NASDAQ: NCI) announced the pricing of a registered direct offering of 2,000,000 Class A ordinary shares at $1.00 per share, or pre-funded warrants at $0.99 each, according to a press release.

The Hong Kong-based apparel services company expects to raise approximately $2.0 million in gross proceeds before placement agent fees and other offering expenses. The offering is expected to close on or about October 1, 2026, subject to customary closing conditions.

Purchasers in the offering may elect to buy up to 200% additional Class A ordinary shares and/or pre-funded warrants at the same price within 60 days of the agreement date, subject to certain conditions.

The offering is being made pursuant to a shelf registration statement on Form F-3 that became effective with the U.S. Securities and Exchange Commission on July 30, 2026. Univest Securities, LLC is acting as the sole placement agent for the transaction.
