LNG Energy Group Corp. (TSXV: LNGE, OTC PINK: LNGNF) has completed the second tranche of its non-brokered private placement, issuing 11,214,652 units at C$0.05 per unit for gross proceeds of approximately C$560,732.60, according to a press release.

Combined with the first tranche, the company has raised approximately C$1,032,636.15 under the private placement to date. Each unit consists of one common share and one warrant, with each warrant exercisable at C$0.10 per share for 36 months from the date of issuance.

Insiders of the company subscribed for 8,910,452 units, representing approximately C$445,522.60 of the second tranche. The company classified this insider participation as related party transactions under Multilateral Instrument 61-101.

The second tranche was completed under partial revocation orders issued by the Ontario Securities Commission (OSC) on April 23, 2026 and August 6, 2026, which partially revoked a failure-to-file cease trade order (FFCTO) the OSC had issued against the company on May 7, 2025. All securities issued in connection with the private placement remain subject to the FFCTO unless it is fully revoked.

The company stated it intends to use proceeds to satisfy outstanding continuous disclosure obligations and to apply for a full revocation of the FFCTO, though it noted no assurance can be given that a full revocation will be obtained.

Units issued in the second tranche carry a hold period expiring February 15, 2027. The closing remains subject to final acceptance by the TSX Venture Exchange. The company indicated it anticipates closing a third tranche of the private placement.
