Know Labs, Inc (NYSE: KNW) has filed the following:

This is a firm commitment public offering. Pursuant to this prospectus, we are offering 12,000,000 units, each unit consisting of one share of common stock and one warrant to purchase one share of common stock (the “Public Warrants”), at an assumed offering price of $0.50 per unit, which is approximately equal to the last reported sale price per share of our common stock on the NYSE American on June 27, 2024 for gross proceeds of approximately $6.0 million. The public offering price per unit will be determined between us and the underwriters based on market conditions at the time of pricing, and may be at a discount to the then current market price of our common stock. Therefore, the recent market price of our common stock referenced throughout this prospectus may not be indicative of the final offering price per unit. The Public Warrants will have an initial exercise price of $0.50 per share (equal to 100% of the public offering price of each unit sold in this offering), will be exercisable only upon our achievement of Food & Drug Administration clearance of our KnowU™ product or an earlier change in control of our company, and will expire five years from the date of issuance. We are also offering the shares of our common stock that are issuable from time to time upon the exercise of the Public Warrants .

The units have no stand-alone rights and will not be certificated or issued as stand-alone securities. The shares of common stock and the Public Warrants comprising the units are immediately separable and will be issued separately in this offering. We are also registering the shares of common stock issuable from time to time upon exercise of the Public Warrants included in the units offered hereby.
