Inturai Ventures announces $1.275M non-brokered private placement
Inturai Ventures Corp. (CSE: URAI) (OTC: URAIF) (FSE: 3QG0) announced a non-brokered private placement of up to 8,500,000 units at $0.15 per unit, for gross proceeds of up to $1,275,000.
Each unit consists of one common share and one share purchase warrant. Each warrant entitles the holder to acquire one additional common share at $0.25 for 24 months following the closing of the offering. The warrants are subject to accelerated expiry if the closing share price on the Canadian Securities Exchange reaches or exceeds $0.35 for five consecutive trading days, after which warrant holders may be given 30 days' notice before expiration.
The company said proceeds are intended for research and development, business development, and general working capital purposes.
Units will be offered under the listed issuer financing exemption and will be immediately free-trading under applicable Canadian securities laws. The offering is available in Canadian provinces except Quebec, as well as other qualifying jurisdictions including the United States.
The company may pay finders' fees of up to 6% of gross proceeds in cash, plus non-transferable finders' warrants equal to up to 6% of units issued to introduced investors. Completion of the offering remains subject to regulatory approval.
