InnovAge stockholders launch secondary offering of 10M shares

InnovAge Holding Corp. (Nasdaq: INNV) announced the launch of an underwritten public secondary offering of 10,000,000 shares of its common stock by investment funds affiliated with Apax Partners and Welsh, Carson, Anderson & Stowe, according to a press release.
InnovAge is not selling shares in the offering and will not receive any proceeds from the transaction. The company will, however, bear costs associated with the sale, excluding underwriting discounts and commissions.
The selling stockholders expect to grant underwriters a 30-day option to purchase up to an additional 1,500,000 shares at the public offering price, less underwriting discounts and commissions.
Barclays, Goldman Sachs & Co. LLC, and Wells Fargo Securities are acting as joint book-running managers for the offering. The offering is being made pursuant to a shelf registration statement on Form S-3 filed with and declared effective by the Securities and Exchange Commission.
As of June 30, 2026, InnovAge served approximately 8,230 participants across 20 centers in six states through the Program of All-inclusive Care for the Elderly (PACE).
