Ingram Micro prices secondary offering at $27.25 per share

Ingram Micro Holding Corporation (NYSE: INGM) has priced a secondary public offering of 13,125,000 shares of common stock at $27.25 per share, according to a press release. The shares are being sold by Ingram Holdco, LLC, an affiliate of Platinum Equity, LLC, which will receive all net proceeds from the sale.



The company is not selling any shares in the offering and will not receive any proceeds. Goldman Sachs & Co. LLC is acting as the sole underwriter.



The selling stockholder has granted the underwriter a 30-day option to purchase up to an additional 1,968,750 shares at the public offering price, less underwriting discounts and commissions.



Concurrent with the offering, Ingram Micro authorized a repurchase of 625,000 shares from the underwriter at the same price paid by the underwriter to the selling stockholder. The company said it expects to fund the repurchase with cash on hand. The underwriter will not receive compensation for the repurchase transaction.



The offering is expected to settle and close on or about September 10, 2026, subject to customary closing conditions. The closing of the offering is not conditioned on the completion of the share repurchase.
