Host Digital launches $17.5M common stock offering
Host Digital Inc. (NYSE American: HCWC), formerly known as Healthy Choice Wellness Corp., has announced a proposed underwritten public offering of $17.5 million in shares of its Class A common stock, par value $0.001 per share.
The company also intends to grant underwriters a 30-day option to purchase up to an additional $2.6 million in shares. All shares in the offering will be sold by the company. The offering is subject to market and other conditions, with no assurance provided as to whether, when, or on what terms it may be completed.
Host Digital said it plans to use net proceeds from the offering for data center investments, general and administrative expenses, capital expenditures, working capital, and other general corporate purposes.
Cantor Fitzgerald is acting as lead book-running manager for the offering. Siebert, A.G.P., and Clear Street are acting as joint book-running managers.
The offering will be made pursuant to a prospectus supplement under an effective registration statement on Form S-3 previously filed with the Securities and Exchange Commission.
Host Digital describes itself as a digital infrastructure company focused on data center development and operation in the United States. The company also owns and operates 19 natural and organic grocery store locations across six states under several brand names, following a business combination with Host Digital Infrastructure LLC.
