Golden Age completes Mac Minerals acquisition, expands private placement
Golden Age Exploration Ltd. (CSE: GDN) has completed its acquisition of 100% of the issued and outstanding shares of Mac Minerals Pty Ltd., according to a press release from the Vancouver-based mineral exploration company.
As part of the transaction, Golden Age issued 6,000,000 common shares to Mineral Road Partners Inc. and its designees. The shares are subject to a hold period expiring February 15, 2027. The acquisition was completed following minority shareholder approval and approval from the Canadian Securities Exchange.
The definitive share purchase agreement, dated July 31, 2026, was entered into with MRG Resources Pty Ltd., Mac Minerals Pty Ltd., Sunbird Resources Pty Ltd., Ross Brown, and Rob Heaslop, among others.
Golden Age also announced an increase to its previously disclosed non-brokered private placement. The offering has been expanded from up to 2,000,000 units at $0.20 per unit, targeting gross proceeds of up to $400,000, to up to 3,500,000 units at the same price of $0.20 per unit, raising potential gross proceeds to $700,000.
Each unit consists of one common share and one half of one share purchase warrant. Each whole warrant is exercisable at $0.35 for a period of one year. The company stated proceeds will be used to fund project-related expenditures and for working capital purposes. Commissions may be paid on funds raised.
