Global Atomic plans public unit offering to fund Dasa uranium project
Global Atomic Corporation (TSX: GLO)(OTCQX: GLATF)(Frankfurt: G12) has announced a proposed public offering of units, with Red Cloud Securities Inc. acting as sole underwriter and bookrunner.
Each unit will consist of one common share and one half of one common share purchase warrant, with each whole warrant exercisable to acquire one additional common share. Pricing, the number of units to be sold, and gross proceeds have not yet been determined.
Global Atomic intends to grant Red Cloud a 30-day over-allotment option to purchase up to an additional 15% of the units sold under the offering, exercisable in whole or in part at Red Cloud's discretion.
The company said it intends to use net proceeds from the offering to advance its Dasa Project in Niger and for general working capital purposes.
The offering is expected to close on or about October 1, 2026, subject to regulatory approvals including approval from the Toronto Stock Exchange and the execution of an underwriting agreement. A prospectus supplement will be filed with securities regulators in Canadian provinces and territories, excluding Quebec. Units may also be sold in the United States through private placement exemptions.
The Dasa Project is operated by SOMIDA, which is 80% owned by Global Atomic and 20% by the Niger government. The company also holds a 49% interest in a zinc recycling joint venture operating in Türkiye.
