Frequency Electronics launches $100M stock offering

Frequency Electronics, Inc. (NASDAQ: FEIM) announced the commencement of an underwritten public offering of $100 million in shares of its common stock, according to a press release dated July 28, 2026.
The company is offering $62.5 million of shares, while selling stockholders Edenbrook Value Fund, LP and Edenbrook Long Only Value Fund, LP — affiliates of board member Jonathan Brolin — are offering $37.5 million of shares. Frequency Electronics also intends to grant underwriters a 30-day option to purchase up to an additional $15 million of shares at the public offering price, less underwriting discounts and commissions.
The company said it expects to use net proceeds from its portion of the offering for capital expenditures, working capital, and general corporate purposes. Frequency Electronics will not receive proceeds from the shares sold by the selling stockholders.
Morgan Stanley is acting as lead book-running manager, and Craig-Hallum is acting as book-running manager for the offering. A registration statement was filed with the U.S. Securities and Exchange Commission and declared effective on July 21, 2026.
The offering is subject to market conditions, and the company stated there is no assurance as to whether or when the offering may be completed, or as to its final size or terms.
